End User License Agreement — ASLLC Invoice Automation

This End User License Agreement (the "Agreement") governs your use of ASLLC Invoice Automation (the "App"), an application operated by Company Vitals LLC ("we", "us", or "our") that integrates with QuickBooks Online. By accessing or using the App, you agree to be bound by this Agreement. If you do not agree, do not use the App.

1. Intended Use

The App is licensed for internal use only. It is made available solely to authorized personnel of the company whose QuickBooks Online file it connects to, for that company's own internal business operations. The App is not offered, sold, or distributed to the general public.

2. License Grant

Subject to your compliance with this Agreement, Company Vitals LLC grants a limited, non-exclusive, non-transferable, non-sublicensable, and revocable license to use the App for the internal business operations of the authorized company. All rights not expressly granted are reserved by Company Vitals LLC.

3. Restrictions

You agree not to:

• copy, modify, distribute, sell, sublicense, lease, or rent the App;
• access, or attempt to access, any QuickBooks Online company you are not authorized to access;
• use the App in any manner that violates applicable law or Intuit's terms of service.

4. Third-Party Services

The App interoperates with QuickBooks Online, a service provided by Intuit Inc. ("Intuit"). Your use of QuickBooks Online is governed by Intuit's own terms and policies. Company Vitals LLC is not affiliated with Intuit, and Intuit is not a party to this Agreement.

5. Data

Our handling of data accessed through the App is governed by our Privacy Policy, which is incorporated into this Agreement by reference.

6. Disclaimer of Warranties

The App is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation the implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the fullest extent permitted by law.

7. Limitation of Liability

To the fullest extent permitted by law, Company Vitals LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, or data, arising out of or relating to your use of the App, even if advised of the possibility of such damages.

8. Termination

This Agreement remains in effect until terminated. You may terminate it at any time by disconnecting the App from QuickBooks Online and ceasing all use of the App. Company Vitals LLC may suspend or terminate access to the App at any time. Sections 6 (Disclaimer of Warranties), 7 (Limitation of Liability), and 9 (General) survive termination.

9. General

This Agreement is governed by the laws of the United States and the State of Utah, without regard to conflict-of-laws principles. If any provision of this Agreement is found to be unenforceable, the remaining provisions will remain in full force and effect. We may update this Agreement from time to time; continued use of the App after an update constitutes acceptance of the revised Agreement.
